Ocean Clicks provides business process outsourcing services, including but not limited to:

• Credit repair outsourcing and processing services
• Legal process outsourcing and paralegal support
• Virtual assistant services for various industries
• Property management outsourcing and support
• Contact center and lead generation services

Specific services, deliverables, timelines, and pricing will be outlined in individual service agreements or statements of work.

As a client of Ocean Clicks, you agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Ensure you have the legal right to share any data or information provided to us
• Comply with all applicable laws and regulations in your jurisdiction
• Make timely payments according to agreed-upon terms
• Maintain confidentiality of any proprietary processes or information shared by Ocean Clicks
• Provide reasonable access to systems, tools, and information necessary for service delivery

Payment terms will be specified in individual service agreements. Unless otherwise stated:

• Invoices are due within 15 days of the invoice date unless otherwise agreed
• Late payments may incur a fee of 1.5% per month or the maximum allowed by law
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless explicitly stated in the service agreement
• Client is responsible for all taxes, duties, and fees associated with the services

Ocean Clicks is committed to protecting client confidentiality:

• All client information and data will be treated as confidential
• We implement industry-standard security measures to protect client data
• Our team members sign non-disclosure agreements and receive confidentiality training
• Client data will not be shared with third parties except as required by law or with client consent
• Upon termination, we will return or securely destroy client data as requested

All work product, deliverables, and materials created by Ocean Clicks as part of the services become the property of the client upon full payment, unless otherwise agreed in writing.

Ocean Clicks retains ownership of all proprietary processes, methodologies, templates, and tools used to deliver services. The Ocean Clicks name, logo, and branding materials remain our exclusive property.

Clients retain ownership of all data, information, and materials provided to Ocean Clicks for service delivery.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Ocean Clicks shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by the client for services in the 12 months preceding the claim
• We are not responsible for errors resulting from inaccurate or incomplete information provided by the client
• We are not liable for delays or failures due to circumstances beyond our reasonable control

While we strive for accuracy and quality, our services are provided "as is" without warranties of any kind, express or implied.

Client agrees to indemnify, defend, and hold harmless Ocean Clicks, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Client's breach of these Terms or any applicable laws
• Inaccurate or incomplete information provided by client
• Client's use of our deliverables or services
• Any third-party claims related to client's business operations

Service agreements may be terminated as follows:

• Either party may terminate with 30 days' written notice, unless otherwise specified
• Ocean Clicks may terminate immediately for non-payment or material breach
• Client remains responsible for payment of all services rendered through the termination date
• Upon termination, we will provide all completed work and return client materials
• Confidentiality obligations survive termination

Clients may not use Ocean Clicks services for:

• Any illegal, fraudulent, or unauthorized purpose
• Violating any laws, regulations, or third-party rights
• Transmitting harmful code, viruses, or malicious software
• Attempting to gain unauthorized access to our systems or networks
• Interfering with or disrupting our services or servers

These Terms shall be governed by and construed in accordance with the laws of India and the United States, as applicable to the specific services provided.

Any disputes arising from these Terms or our services shall first be addressed through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or in the appropriate courts having jurisdiction.

Each party agrees to waive any right to a jury trial in any proceeding arising out of or relating to these Terms.

We reserve the right to update or modify these Terms at any time without prior notice. Changes will be posted on this page with an updated "Last Updated" date.

Continued use of our services after changes are posted constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically.
